terms of service

These Terms of Service ("Terms") govern your access to and use of the RAPTOR software and related websites and services (the "Service") provided by Axiom Specialty [, Inc.] ("Axiom," "we," "us"). By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.
Insurance is separate. Any insurance we provide is governed solely by the terms, conditions, and exclusions of the applicable insurance policy. Nothing in these Terms creates, modifies, or interprets insurance coverage, and the Service is a risk‑management tool — not a guarantee of coverage, security, or any outcome.
1. The Service
RAPTOR is an AI‑governance monitoring application that helps an organization assess and monitor its AI‑governance posture, including by connecting the organization's own Google Workspace or Microsoft 365 to collect read‑only administrative signals. We may provide the Service bundled with an insurance policy or as a standalone subscription.
2. Accounts and eligibility
You must provide accurate account information and keep it current, safeguard your credentials, and are responsible for activity under your account. The Service is for organizations and business use, not consumers.
3. Connected accounts and authorization
By connecting a workspace, you represent that you are authorized to do so and you grant us permission to access the applicable administrative data read‑only to provide the Service, as described in our Privacy Policy. You may disconnect a workspace at any time. You are responsible for your organization's data and for any required notices to or consents from your personnel.
4. Subscriptions, fees, and billing
Paid plans are billed in advance on the stated cadence (e.g., annually) through our payment processor. Fees are based on the plan and the monitored population, are non‑refundable except as required by law or expressly stated, and may change on renewal with notice. You authorize us and our processor to charge your payment method for applicable fees and taxes.
5. Acceptable use
You will not: misuse or interfere with the Service; attempt to gain unauthorized access; reverse engineer except as permitted by law; use the Service to violate any law or third‑party right; or connect a workspace you are not authorized to connect.
6. Intellectual property
We and our licensors own all rights in the Service, including software, models, and content. We grant you a limited, non‑exclusive, non‑transferable right to use the Service during your subscription. You retain rights in your organization's data; you grant us the rights needed to operate and improve the Service consistent with the Privacy Policy.
7. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. Risk metrics and governance signals are informational and do not guarantee security, compliance, insurability, or any outcome.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA. OUR TOTAL LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM. Nothing limits liability that cannot be limited by law.
9. Indemnification
You will indemnify and hold us harmless from claims arising out of your misuse of the Service, your data, or your breach of these Terms, except to the extent caused by us.
10. Term and termination
These Terms apply while you use the Service. Either party may terminate as stated in the applicable order or for material breach. On termination, your right to use the Service ends; provisions that by nature should survive will survive. Termination of the Service does not by itself affect any insurance policy, which is governed by its own terms.
11. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict‑of‑laws rules. The state and federal courts located in New York, New York will have exclusive jurisdiction, unless otherwise required by law.
12. Changes
We may update these Terms; we will post the updated version and revise the "Last updated" date. Continued use after changes take effect constitutes acceptance.
